  • Have the legal capacity to enter into binding agreements.
  • Provide accurate, current, and complete information during registration.
  • Not have been previously suspended or removed from the Platform.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access to your account.

3. User Roles and Permissions

The Platform operates a role-based access control system. Each role carries specific permissions and restrictions:

Attempting to access functionality beyond your assigned role, circumvent access controls, or impersonate another user or role is a material breach of these Terms.

4. Campaign Creation and Management

Brands may create campaigns through the Platform's campaign wizard. By creating a campaign, you agree that:

  • All campaign information provided is accurate, and budgets stated are genuine and available.
  • Campaigns are subject to administrative review and approval before becoming active. We reserve the right to reject campaigns that violate these Terms, applicable law, or platform guidelines.
  • You will not create campaigns for products or services that are illegal, deceptive, harmful, or that violate any applicable advertising standards.
  • Campaign materials (images, videos, scripts, guidelines) uploaded to the Platform must be content you own or are licensed to use, and must not infringe third-party intellectual property rights.
  • You are responsible for ensuring campaigns comply with all applicable advertising disclosure regulations (including FTC guidelines, ASA rules, or equivalent in your jurisdiction).

5. Influencer and Content Creator Obligations

By accepting a campaign assignment, Influencers agree to:

  • Deliver the agreed Deliverables on time, to the specifications set out in the Campaign brief.
  • Ensure all published content complies with applicable advertising disclosure laws (e.g., using #ad, #sponsored, or equivalent disclosures as required).
  • Not submit false, misleading, or fabricated performance metrics.
  • Not artificially inflate followers, engagement, or reach through bots, purchased interactions, or similar means. Discovery of such practices will result in immediate account suspension.
  • Grant Brands a non-exclusive licence to use submitted content for the purposes agreed in the Campaign brief and Contract.
  • Maintain the accuracy of their profile data, social metrics, and pricing information.

6. Contracts and Digital Signatures

Campaign engagements are formalised through digital contracts generated within the Platform. By applying your digital signature within the Platform, you:

  • Acknowledge that the digital signature constitutes a legally binding agreement to the terms set out in the contract.
  • Confirm you have read and understood the contract terms, deliverable specifications, payment amounts, and timelines.
  • Agree that contracts are fully executed only when both the Brand and the Influencer have signed.
  • Understand that cancellation of a fully signed contract may carry financial or legal consequences as set out in the contract terms.

InfluencerGate provides the contract infrastructure as a facilitation service only. We are not a party to contracts between Brands and Influencers and accept no liability for contractual disputes between parties.

7. Payments

7.1 Payment Workflow

The Platform provides a structured 8-stage payment tracking workflow: milestone creation, contract signing, deliverable approval, payment request, payment approval, proof upload, and payment confirmation. Payments become eligible only after the relevant Deliverable has been approved.

7.2 No Direct Payment Processing

InfluencerGate does not process, hold, or transfer funds between Brands and Influencers. The Platform tracks payment workflow state only. Actual fund transfers occur directly between the Brand and the Influencer via their agreed payment method. InfluencerGate is not liable for failed, delayed, or disputed payments.

7.3 Payment Disputes

Either party may raise a payment dispute through the Platform. Admins and Campaign Controllers will review disputes and facilitate resolution. InfluencerGate's dispute facilitation does not constitute legal arbitration, and parties retain the right to seek independent legal remedies.

7.4 Bank and Payment Details

Any bank account or payment details you provide are stored encrypted. You are responsible for providing accurate payment information. InfluencerGate is not liable for misdirected payments resulting from incorrect information you provide.

8. Social Media Account Connections

You may connect social media accounts (Instagram, Facebook, YouTube, TikTok, Twitter/X, LinkedIn) to the Platform via OAuth. By doing so, you:

  • Authorise InfluencerGate to access and retrieve metrics data from the connected account using the permissions granted during the OAuth flow.
  • Confirm you own or are authorised to connect the social account.
  • Acknowledge that metric data retrieved will be visible to Brands and Admins within the Platform for campaign evaluation purposes.
  • Understand that you may revoke the connection at any time, but historical data already collected will remain in the Platform unless you request its deletion.
  • If you connect a YouTube channel, agree to be bound by the YouTube Terms of Service. InfluencerGate uses YouTube API Services; see our Privacy Policy and the Google Privacy Policy for how that data is handled.
  • If you connect a TikTok account, agree that your use of TikTok remains subject to the TikTok Terms of Service.

You remain solely responsible for compliance with the terms of service of each connected social platform.

9. Content Ownership and Intellectual Property

9.1 Your Content

You retain ownership of content you upload or submit to the Platform. By uploading content, you grant InfluencerGate a non-exclusive, royalty-free, worldwide licence to host, store, and display that content solely for the purpose of operating and providing the Service.

9.2 Platform IP

The Platform, including all software, design, trademarks, and documentation, is the intellectual property of InfluencerGate. You may not copy, modify, distribute, sell, or create derivative works of the Platform or any part of it without our explicit written permission.

9.3 Brand Materials

Campaign materials uploaded by Brands are accessible only to Influencers specifically assigned to that campaign. Influencers may use these materials solely for the purpose of fulfilling the campaign deliverables. Any other use requires explicit written consent from the Brand.

9.4 Creator Profile Information and Thumbnails

To operate our discovery directory, the Platform collects and displays publicly available information about Influencers and Content Creators, including profile images and content thumbnails associated with their public posts. These images and thumbnails remain the property of the respective creator or rights holder; the Platform displays them solely to enable Brands to discover and evaluate creators, and claims no ownership of that material.

When a creator registers or claims their profile, they grant InfluencerGate a non-exclusive, royalty-free licence to continue displaying their profile image, thumbnails, and associated public information on the Platform for the purpose of operating the Service.

If you are a creator and do not wish to be listed, you may request correction or removal of your profile, profile image, and content thumbnails at any time through the in-platform claim flow or by contacting us at the address below. We will action verified removal requests within a reasonable period, subject to any applicable legal retention requirements.

10. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms.
  • Provide false or misleading information in your profile, campaign data, or deliverable submissions.
  • Artificially inflate social metrics, follower counts, or engagement through inauthentic means.
  • Attempt to gain unauthorised access to other users' accounts or data.
  • Attempt to reverse engineer, scrape, or extract data from the Platform beyond normal use.
  • Circumvent, disable, or interfere with security features of the Platform.
  • Upload malicious code, viruses, or harmful content.
  • Harass, abuse, or harm other users of the Platform.
  • Use the Platform to facilitate campaigns for products or services that are illegal, deceptive, dangerous, or violate applicable consumer protection or advertising laws.
  • Share your account credentials with third parties.

11. Administrative Approval and Moderation

InfluencerGate operates approval workflows for both user accounts and campaigns:

  • User accounts require administrative approval before access is granted. Accounts may be rejected with a stated reason, and rejected users may reapply or appeal.
  • Campaigns require approval before becoming active. Campaigns may be rejected if they violate platform guidelines, applicable law, or these Terms.
  • We reserve the right to suspend or terminate any account or campaign at any time for violation of these Terms, without prior notice, in cases of serious breach.
  • Suspension decisions that are not related to active legal investigations may be appealed by contacting us at the address below.

12. Notifications and Communications

By using the Platform, you consent to receiving in-app notifications and real-time WebSocket notifications related to campaign activity, approvals, deliverables, contracts, payments, and account status changes. These communications are necessary for the operation of the Service and cannot be fully disabled while your account is active.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or completely secure.
  • Social media metric data retrieved via APIs will be accurate, complete, or up to date (accuracy is dependent on the third-party platform APIs).
  • Campaigns will achieve their stated marketing goals or deliver any particular results.
  • Any disputes between Brands and Influencers will be resolved in any particular manner.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFLUENCEHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

In jurisdictions that do not allow the exclusion of certain warranties or the limitation of liability for certain damages, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless InfluencerGate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit through the Platform.

16. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account immediately if you:

  • Breach these Terms in a material way.
  • Engage in fraudulent, abusive, or illegal activity.
  • Fail to maintain accurate account information.

Upon termination, your access to the Platform will cease. Data retention following termination is governed by our Privacy Policy. Outstanding contractual obligations and payment records may be retained as required by law.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration or, where arbitration is not permitted, to the courts of competent jurisdiction.

Nothing in this clause prevents either party from seeking injunctive or other equitable relief from a court to prevent ongoing harm.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notification and the "Last updated" date will be revised. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

19. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and InfluencerGate regarding your use of the Platform.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours freely.
